Agency Partner Pilot Terms

These terms provide the framework for the Heartly Partner Program pilot. The individual commission rate and duration are confirmed separately in the partner portal.

1. Participation

Participation is non-exclusive. Heartly may review, reject, pause, or end an application. A partner is not authorised to legally represent Heartly.

2. Clear attribution

A client shop must be registered in the partner portal using its permanent shop domain before installation. A registration is valid for 60 days, and a partner may hold at most 25 open registrations at a time. After installation, the merchant confirms in Heartly that the partner works with them. Commission can only accrue for shops whose merchant has confirmed the relationship. If the merchant declines, the attribution is void. Duplicate and self-referrals are excluded.

3. Commission

Only the commission rate and duration confirmed in the partner portal apply. The basis is the net amount Heartly actually receives from Shopify for the attributed shop, that is after Shopify's share, excluding taxes and less refunds and chargebacks. Amounts in another currency are converted at the European Central Bank euro reference rate of the day of the transaction, or the last rate published before it on days without a rate.

4. Self-billing

Heartly settles commission by self-billed invoice (Gutschrift, § 14 (2) sentence 2 German VAT Act), quarterly unless another cadence is agreed in the partner portal. The self-billed invoice is an e-invoice in ZUGFeRD format; the partner does not issue its own invoice. The partner keeps its billing details in the partner portal up to date, in particular address, VAT status, and VAT ID or tax number. The partner reports any dispute about a settlement within 30 days of receipt. The right to object to a self-billed invoice is unaffected; after an objection, the partner invoices that commission itself. Settlement and payout are currently available only for partners based in the EU.

5. Payout

Heartly pays the amount of the self-billed invoice by the 15th of the month after the settlement period ends, via Stripe to the account provided in Stripe onboarding. This requires completed Stripe verification and complete billing details. Stripe handles identity and bank verification; Heartly does not store identity documents or bank details. Heartly bears Stripe's fees. Tracking alone does not create a payout entitlement.

6. Communication

Recommendations must be factual and accurate. Unsolicited bulk outreach, misleading statements, brand misuse, and promises of unapproved terms are prohibited.

7. Client data

Partners may only register client shops where they have an existing business relationship or appropriate authorisation. Credentials, payment data, and personal client data must not be entered into Heartly free-text fields.

8. Changes and termination

Heartly will identify material changes with a new version in the portal. A new version must be accepted again. Valid commission already accrued remains unaffected by termination; disputed or abusive attribution may be reviewed.

Heartly enables payouts per partner after reviewing the profile, billing details, and Stripe verification.
